MySQL 4.1.25 stopped getting updates in 2009! Here is a list of Security issues for MySQL:

There is no risk in running MySQL 5.5. It's much faster. Much more stable and a better support ecosystem with live backups and such.

The innodb file format hasn't changed much and the upgrade should be very smooth. I've upgraded all of my MySQL servers through the years and never experienced big issues, except for configuration file changes that stopped MySQL from starting. Build a staging server, create your configuration file, then upgrade your MySQL 4 server using that config file.
