See <bacula-source>/src/win32/README.win32  preferably from the current CVS.

In addition (not yet noted in the README), you need the docs directory to be 
at the same level as the bacula source directory -- unless you build by 
"hand" and skip making the installer.

I'll be on vacation shortly, but there are at least 2 people on the 
bacula-devel email list that regularly build it themselves ...
