   You are correct (i.e. the Board is duly elected by the members and 
ultimately has
   responsibilities to them and ARIN's mission.)

   Steven is also correct, to the extent that it is noted that the Board takes 
advice from the
   ARIN Advisory Council (hence the "Advisory" in its name) on policy matters, 
and the AC
   follows ARIN's Policy Development Process (PDP) for consultation with the 
community.

   The Board has nicely constrained its actions predominantly to ratification 
of recommended
   draft policies but it does have geater powers which are elaborated in the 
PDP.  The authority
   does ultimately rest with the Board, but even in taking this action, it is 
following the published
   processes which call for ARIN AC review and community consultation, thus 
allowing for safe
   discussion of the issues involved without the problematic policy being 
active at the same time.
