EXCLUDE "D:\...\*"
INCLUDE "D:\backmeup\...\*"

Will do the job.  Remember TSM looks at the list from the bottom up, so
put your includes at the bottom.  (also as soon as it matches it stops
looking, hence the reason the above works).
